Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EventYield software-as-a-service platform, including our website, mobile applications, and related services (collectively, the "Service"), operated by The Soda Well LLC, a Georgia limited liability company ("EventYield," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract under applicable law. The Service is currently offered only to vendors operating in the United States.

2. Account Registration

You must create an account to use most features of the Service. You agree to provide accurate information, keep it up to date, maintain the security of your password, and notify us immediately at support@eventyield.live of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

3. Subscription, Billing, and Trial

3.1 Subscription Plans

EventYield is offered as a paid subscription service:

• Monthly Plan: $23.99 per month, automatically renewing each month
• Annual Plan: $199.00 per year, automatically renewing each year

Prices are in U.S. dollars and exclude any applicable taxes, which you are responsible for paying.

3.2 Free Trial

New users are entitled to a 7-day free trial. During the trial you have full access to all features included in your selected plan and will not be charged. At the end of the trial, your subscription begins and your payment method is charged for the first billing period unless you cancel before the trial ends.

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel. You authorize us (and our payment processor, Stripe) to charge your payment method for the applicable subscription fee and taxes.

3.4 Cancellation

You may cancel your subscription at any time from within the app or by contacting support. Upon cancellation, your subscription remains active through the end of the current billing period, after which your account enters the retention/deletion process described in our Privacy Policy.

3.5 No Refunds

All subscription fees are non-refundable, including partial billing periods, unused features or time, and mid-period plan changes. If you experience a service outage, contact support and we will evaluate goodwill credits on a case-by-case basis at our sole discretion.

3.6 Price Changes

We may change subscription prices. Price changes will be communicated at least 30 days before they take effect and will apply to your next renewal.

4. Use of the Service

4.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business purposes.

4.2 Acceptable Use

You agree not to use the Service for any illegal purpose; resell or commercially exploit it without our written consent; reverse engineer it; use bots or scrapers without permission; interfere with or disrupt the Service; misrepresent your business identity; harass or harm others; send spam; upload infringing content; or circumvent access controls.

4.3 Third-Party Integrations

The Service integrates with third-party services including Square, Clover, Google Calendar, Outlook, and Stripe. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of third-party services.

5. Your Data

You retain ownership of all data you upload to or generate within the Service ("Your Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and transmit Your Data solely as necessary to provide the Service, provide support, comply with legal obligations, improve the Service, and compute anonymized aggregates as described in our Privacy Policy. We perform regular backups, but you are also responsible for maintaining your own backups using the export tools available in the Service.

6. Forecasts, Estimates, and Recommendations

Many EventYield features (including the Event Profit Score, revenue forecasts, cost projections, and recommendations) produce estimates and projections, not guarantees. EventYield does not guarantee any specific revenue, profit, attendance, or business outcome. You agree to treat the Service as one tool among many in your business decision-making — not as the sole basis for booking events, setting prices, or making other significant business decisions.

7. Intellectual Property

The Service, including all software, design, content, trademarks, and logos, is owned by EventYield (The Soda Well LLC) or its licensors and is protected by intellectual property laws. If you provide feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use that feedback.

8. Termination

You may terminate your account at any time by following the deletion procedure in the Service or by contacting support. We may suspend or terminate your access if you breach these Terms, if required by law, if we discontinue the Service, or if your payment method fails repeatedly. Upon termination, your license to use the Service ends and your data is retained or deleted in accordance with our Privacy Policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTYIELD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless EventYield and its officers, directors, employees, and agents from any claim, loss, or damage (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Dispute Resolution

These Terms are governed by the laws of the State of Georgia, United States. Before filing any formal dispute, you agree to first contact us at support@eventyield.live and attempt to resolve the matter informally. If informal resolution fails, disputes will be resolved in the state or federal courts located in Richmond County, Georgia.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect.
